Does a dormant company really have to file accounts with Companies House?
Yes. A company registered at Companies House must file annual accounts regardless of whether it has traded. For a dormant company, these are simplified accounts — but the deadline is real, the filing is mandatory, and the penalties for missing it start at £150 and escalate. The most common misconception is that a dormant company can simply be ignored until it is needed again.
What does it cost to have dormant accounts prepared and filed?
Fees are scoped to each company’s specific situation and discussed on the free discovery call — a company that has been dormant since incorporation with no prior filing history is a different job from one with a few years of missed filings to work through. There is no published rate card, but the fee is fixed and agreed before any work starts, so there are no surprises.
My company has missed a few years of filings. Can you sort it out?
Yes. Late and overdue dormant accounts are a relatively common starting point. Companies House will already have issued penalties for late years, and those penalties are set at incorporation. We will work through the outstanding years in chronological order, file each set of accounts, and bring the company back into good standing. The catch-up scope and cost is included in the proposal before anything is filed.
Is there a long-term contract?
No. There is no minimum term. Dormant company filing tends to be an annual engagement by nature, but if circumstances change — the company is struck off, resumes trading, or you decide to use someone else — you leave with your filing history intact and nothing outstanding. The arrangement works for as long as it is useful to you.
Do I need to tell HMRC my company is dormant, or is Companies House filing enough?
The two are separate. Companies House accounts confirm the company’s filing obligations are met, but HMRC has its own process. If HMRC has issued a notice to deliver a Corporation Tax return, that return must be filed — a dormant CT600 if the company had no income or chargeable gains. If the company has never traded and HMRC has not issued a notice, a dormancy notification is the appropriate step. We confirm which applies to your company and handle whichever is needed.
What happens if I want to start trading through the dormant company?
The company moves from dormant to active, and the accounting requirements change accordingly. HMRC needs to be notified, a proper accounting period needs to be established, and bookkeeping, VAT registration (if applicable) and payroll all need to be set up correctly from the point trading begins. Having the dormant filings in order from the start makes this transition considerably cleaner than starting with a backlog to clear.
